These Terms of Use (“Terms”) create a legal agreement between you (“You” or “Your”) and  Sound Development, LLC ("Sound Ventures,” “we,” “us,” or “our”) that governs your access to and use of the website available at  soundventures.com or successor site and the information and materials available on this website (collectively, the “Sound Ventures Site”). By accessing any portion of the Sound Ventures Site, you agree to be bound by these Terms, which may be amended from time to time in our sole discretion. If we make changes to these Terms, we will provide notice of such changes, such as by posting a notice on the Sound Ventures Site and/or updating the “Last Updated” date above. Your continued use of the Sound Ventures Site following the posting of changes or modifications will confirm your acceptance of such changes or modifications. If you do not agree to these Terms (as amended), you must stop using the Sound Ventures Site.

ARBITRATION NOTICE. PLEASE BE AWARE THAT SECTION 12 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND SOUND VENTURES, OR OTHERWISE ARISING OUT OF THESE TERMS. AMONG OTHER THINGS, THAT SECTION INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND SOUND VENTURES, OR OTHERWISE ARISING OUT OF THESE TERMS, WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION, AND INCLUDES A CLASS ACTION AND JURY TRIAL WAIVER. 1. Overview of Sound Ventures

Sound Ventures is an investment firm that invests in technology companies dedicated to inspirational founders whose companies change the way we work and live. By being at the forefront of technological and platform shifts, our mission is and always has been to align star founders and their companies with the resources they need not only to grow their brands, but to become category-defining businesses.

 

2. Eligibility

To use the Sound Ventures Site, you must be at least 18 years old and legally capable of entering into binding contracts. By accessing or using the Sound Ventures Site, you represent and warrant that you meet these eligibility requirements.

3. User Conduct

You agree to use the Sound Ventures Site only for lawful purposes. You may not:

• Disrupt or interfere with the functioning of the Sound Ventures Site;

• Access the Site for any reason other than to use the Sound Ventures Site for a bona fide purpose; 

• Upload or transmit malicious code; or

• Access or use the Sound Ventures Site in violation of any applicable laws.

We reserve the right to terminate or suspend your access to the Sound Ventures Site for any violation of these Terms.

 

4. Intellectual Property Ownership and Limited License

The Sound Ventures Site, including the text, images, photographs, videos, information, data, software, and other content and materials contained therein (and the selection, arrangement and presentation thereof), are owned by Sound Ventures or our licensors and are protected under both U.S. and international laws. Except as explicitly stated in these Terms, all rights in and to the Sound Ventures Site are reserved by us or our licensors. Subject to your compliance with these Terms, you are granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license only to access and use the Sound Ventures Site for non-commercial, informational purposes. Sound Ventures does not grant you any rights in its marks or any other product or service name or slogan contained on the Sound Ventures Site. Any other access, use, copying, distribution, retransmission or modification of the Sound Ventures Site, without our prior written permission, is strictly prohibited and will terminate the license granted herein and violate our intellectual property rights.

 

5. Third-Party Links

The Sound Ventures Site may contain links to third-party websites, advertisers, products, services, or other activities or events that are not owned or controlled by Sound Ventures (collectively, “Third-Party Content”). Your dealings or correspondence with Third-Party Content and your use of or interaction with any Third-Party Content are solely between you and the third party. We do not control, endorse or adopt any Third-Party Content and make no representation or warranties of any kind regarding Third-Party Content or the privacy practices of any third parties, and your access to and use of such Third-Party Content and interaction with such third parties is at your own risk.

We reserve the right, and you authorize us, to the use and assignment of all information submitted or collected by or about you on or through the Sound Ventures Site in accordance with our Privacy Policy. 

 

7. Location

The Sound Ventures Site is controlled and/or operated from the United States, and is not intended to subject us to non-U.S. jurisdiction or laws, except as otherwise expressly stated in these Terms. The Sound Ventures Site may not be appropriate or available for use in some jurisdictions outside of the United States. If you use the Sound Ventures Site, you do so at your own risk, and you are responsible for complying with all local laws, rules and regulations. We may limit the Sound Ventures Site’s availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.

 

8. Indemnification

To the extent permitted by law, you agree to indemnify, defend and hold us and our partners, members, associates, agents, attorneys, employees, subcontractors, successors, assigns and affiliates (collectively, “Sound Ventures Parties”) harmless from any liability, loss, claim and expense related to your (a) violation of these Terms, (b) violation of applicable law or third-party rights (including, without limitation, patent, trademark, copyright, trade secret or other intellectual property rights), (c) willful misconduct and (d) use of the Sound Ventures Site.

You agree to promptly notify Sound Ventures and the Sound Ventures Parties of any third-party claims, cooperate with us and the Sound Ventures Parties in defending such claims, and pay all fees, costs and expenses associated with defending such claims (including, but not limited to, reasonable attorneys’ fees). You also agree that Sound Ventures will have control of the defense or settlement, at our sole option, of any third-party claims. 

 

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sound Ventures and the Sound Ventures Parties will not be liable to you under any theory of liability—whether based in contract, tort, negligence, warranty or otherwise—for any special, indirect, incidental or consequential damages, or lost profits, even if we or any Sound Ventures Parties have been advised of the possibility of such damages. In no event shall our aggregate liability or the aggregate liability of any Sound Ventures Parties, whether in contract, warranty, tort or other theory, arising out of or relating to these Terms and/or the Sound Ventures Site exceed fifty dollars ($50.00).

 

10. Disclaimer of Warranties

Except as expressly provided in writing by us, the Sound Ventures Site is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all other warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not represent or warrant that the Sound Ventures Site is accurate, complete, reliable, current or error-free. You assume the entire risk as to the quality and performance of the Sound Ventures Site. 

We may make changes to the features, functionality or content of the Sound Ventures Site at any time. We reserve the right in our sole discretion to edit or delete any content appearing on the Sound Ventures Site.

 

11. Governing Law and Venue

Any dispute arising from these Terms and your use of the Sound Ventures Site will be governed by and construed and enforced in accordance with the laws of State of Delaware without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. You agree that any action at law or in equity arising out of or relating to these Terms will be filed only in the state and federal courts located in Los Angeles County, California, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms.

 

12. Arbitration and Dispute Resolution

(a) For any dispute, claim, or controversy arising out of or in relation to these Terms, including, without limitation, the breach, termination, enforcement, interpretation, or validity thereof, or your access or use of the Site (together a “Dispute”), you agree to first contact Sound Ventures and attempt informal resolution. If unresolved, the Dispute will be settled through binding arbitration before a single arbitrator pursuant to the JAMS Streamlined Arbitration Rules and Procedures (“JAMS Rules”) on an individual basis with no class relief. 

(i) The arbitrator shall be a judge or attorney experienced in commercial law and shall apply the substantive law of Delaware. 

(ii) This section constitutes a “written agreement to arbitrate” pursuant to the Federal Arbitration Act (“FAA”).

(iii) If the claim does not exceed $10,000, arbitration will be conducted solely on the basis of submitted documents, unless the arbitrator requires a hearing. 

(iv) If 75 or more similar demands for arbitration are filed against Sound Ventures or its affiliates by or with the assistance of the same law firm or coordinated group of law firms, the JAMS Mass Arbitration Procedures and Guidelines and the associated JAMS Mass Arbitration Fee Schedule then in effect shall also apply and shall govern to the extent of any conflict with the JAMS Rules. The parties agree that a JAMS Process Arbitrator appointed under those procedures may determine threshold and administrative matters, including the propriety of filings, satisfaction of conditions precedent, and grouping or batching of demands. Judgment on the award may be entered in any court having jurisdiction.

(v) THE AGREEMENT TO THESE TERMS CONSTITUTES AN AGREEMENT TO PURSUE YOUR CLAIM ON AN INDIVIDUAL BASIS AND A WAIVER OF THE ABILITY TO PURSUE YOUR CLAIM IN A CLASS ACTION. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative capacity. 

(vi) Notwithstanding any other provision in these Terms or in the JAMS Rules, the arbitrator shall have no authority to hear or determine any matters relating to class claims or any claims asserted by class members or class representatives, and, unless the parties agree otherwise, the arbitrator shall have no authority to consolidate any arbitration claims. 

(vii) Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s proprietary rights, or for matters related to data security or unauthorized access to the Site.

(viii) Notwithstanding the agreement to arbitrate above, either party may bring an individual claim in a small claims court of competent jurisdiction, in lieu of arbitration, so long as the claim qualifies for and remains in small claims court and is brought solely on an individual basis and not as a class, collective, consolidated, or representative action. 

b. You and Sound Ventures agree to exclusively submit to the personal jurisdiction of the state and federal courts located in Delaware for any such actions and for any actions arising from or related to the arbitration. 

c. You agree that, by entering into these Terms, you and Sound Ventures are each waiving the right to a trial by jury and to any right you may have to participate as a class representative or class member on any class claim you may have against Sound Ventures, including any right to class arbitration or any consolidation of individual arbitrations. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person, if Sound Ventures is a party to the proceeding.

13. Miscellaneous

Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights on any other person or entity. If any provision of these Terms is unlawful, void or unenforceable, that provision shall be deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. You agree that communications and transactions between you and Sound Ventures may be conducted electronically. These Terms, together with any policies expressly incorporated by reference herein, constitute the entire agreement between you and Sound Ventures regarding your use of the Sound Ventures Site and supersede all prior or contemporaneous understandings, agreements, representations, warranties, and communications, whether written or oral, regarding the subject matter of these Terms.
